1. APPLICATION

These general conditions of sale are fully applicable to all offers, deliveries and services of THE SWISS SOLUTION SARL unless they have been modified or supplemented by specific arrangements signed by both parties.

2. OFFERS

​

All our offers are without obligation and are valid for 60 days. In the case of a global offer linked to estimated quantities for a particular project, THE SWISS SOLUTION SARL reserves the right to modify the appraisal prices or to request an increase in value if the announced quantities should not be realized.

3. VALIDITY OF ORDERS

​

Any order received and which has not been refused by THE SWISS SOLUTION SARL within 48 hours, is considered as accepted by us. This cannot therefore be canceled without an administrative fee of CHF 50. On the other hand, THE SWISS SOLUTION SARL reserves the right to cancel or stop a production in progress, for reasons of its own and without obligation to disclose them, without the customer being able to claim any compensation. For any new customer, we reserve the right to request payment in advance for part or all of the order. All possible bank charges arising from payments are the responsibility of the buyer.

4. PRICE

 

Our prices are established in Swiss francs, without VAT and we reserve the right to change prices without prior notice. Alcohol taxes may be applied on some of our products. The prices appearing in our catalogs and brochures are non-binding.

5. DELIVERY TIMES

​

The delivery times indicated on our documents are approximate. We do our best to meet these delivery times, but we cannot give any guarantees in the event of non-compliance with them. In addition, the delivery time is extended proportionally in the event of force majeure, including in the event of a strike. Any claim for compensation for delay or damages is therefore excluded.

 

6. OWNERSHIP OF DELIVERIES

 

We remain the owner of the goods until full payment. We also reserve the right to recover unpaid goods without the customer's consent.

 

7. COST OF DELIVERY

 

THE SWISS SOLUTION SARL cannot be held liable during the transport of its goods by carriers, whether on delivery delays, damage or loss of samples. The goods travel at the risk and expense of the buyer.  

 

8. COMPLAINTS

 

Any complaint must be reported within 5 days of receipt of our merchandise. After this period, THE SWISS SOLUTION SARL considers the goods as accepted by the customer. In the event of justified complaints, THE SWISS SOLUTION SARL alone is capable of defining the possible actions to repair the possible damage, provided that the complaint is presented in writing and on time.

 

9. RETURNS

 

Return of goods is only permitted if we have agreed in writing. The costs of transport and discharge are the responsibility of the buyer. Products and goods which are obsolete, outdated, incomplete, not returned in their original packaging or no longer in perfect condition (new condition), cannot be taken back or credited. All special executions cannot be repeated.

 

10. GUARANTEE / LIABILITY

 

THE SWISS SOLUTION SARL vouches for the expected properties of the goods delivered, but declines all responsibility for direct and indirect damage arising from improper use of the products as well as for any resulting loss of profit. Precise technical and safety data sheets are available on request for this purpose. Liability for any damage is expressly limited to the amount of the purchase price. Any other claim for compensation is excluded.

 

11. TERMS OF PAYMENT

 

Our invoices are payable 30 days net, without any deduction, unless other terms have been agreed in writing between the parties and are expressly stated on the order confirmation. Beyond the payment term, fees and default interest may be applied by THE SWISS SOLUTION SARL, from the due date and put in default without further formality.

 

12. VALIDITY

 

These general conditions of sale come into force tacitly at the time of the order and / or offers.

 

13. PLACE OF PERFORMANCE, FORUM AND APPLICABLE LAW

 

Only Swiss law is applicable and in the event of a dispute, Geneva is the place of jurisdiction for the application of these conditions.
